GTA IV requires your graphic card to support Shader model 3.0 which apparently your card does'nt... hence the game will not work unless you change your graphic card with a better one.

My friend had the same problem with you. I am sure your computer has registry problems.It is very easy to repair gta iv fatal error. you just need 3 steps:
1: Download a registry cleaner and install it.
2: Open the registry cleaner and scan you computer for free.
you should have a card supporting shadder model 3.0....ok.Mmmm lets try this there is a software named 3danalyzer which is free u can search it in google itself.It is a software to boost the GPU of ur graphics card--man it works.In its window there are number of options in that click a checkbox named "force high precision pixel shadder" good luck..
